2. DEFINITIONS
2.1. “Store” means the online store operated by FCW at felipecotto.com and its subdomains, unless expressly stated otherwise.
2.2. “Product” means a watch, accessory or other item offered for sale by FCW in the Store.
2.3. “Customer” means a natural person, legal person or organisational entity with legal capacity that uses the Store or enters into a contract with FCW.
2.4. “Consumer” means a natural person entering into a legal transaction with FCW that is not directly related to their business or professional activity.
2.5. “Business Customer with Consumer Rights” means a natural person entering into a contract directly related to their business activity where the content of the contract shows that it is not professional in nature for that person, in accordance with applicable law.
2.6. “Order” means a statement submitted by the Customer through the Store with the direct aim of concluding a contract for the sale of a Product with FCW.
2.7. “Business days” means Monday to Friday, excluding public holidays in Poland.
2.8. “Auction” means a sale of a Product conducted in the Store or through a tool designated by FCW, in which participants submit bids in accordance with the rules presented for that Auction.
2.9. “Order a Watch” means a service whereby FCW receives an enquiry and takes steps to find a watch matching the Customer's criteria; it does not automatically conclude a contract for the sale of a particular watch.
3. USING THE STORE
3.1. Use of the Store requires a device with internet access, an up-to-date web browser and an active email address.
3.2. The Customer agrees to use the Store in accordance with the law, good practice and these Terms and Conditions.
3.3. Customers must not supply unlawful content, including in forms, reviews, correspondence or auctions.
3.4. FCW may take measures to ensure transaction security, prevent fraud and verify identity, contact details, payment details, delivery addresses or the source of funds, to the extent permitted by applicable law.
4. PRODUCTS AND LISTING INFORMATION
4.1. FCW offers, in particular, new, pre-owned, vintage and collectible watches. Each Product may differ in condition, history, completeness, included items, technical specifications and degree of wear.
4.2. The Product description, photographs, price, currency, availability, condition, completeness and any defects or limitations are presented on the Product page. FCW endeavours to keep this information accurate and up to date.
4.3. Pre-owned and vintage watches may show signs of use, patina, colour variations, imperfections, serviced components, timekeeping limitations or other characteristics resulting from the Product's age and nature. Characteristics clearly described or presented in the listing do not constitute a lack of conformity with the contract.
4.4. Product photographs show its actual condition unless the description states otherwise. Differences resulting from the Customer's screen settings or lighting conditions do not constitute grounds for a complaint where the Product matches its description and photographs.
4.5. Water-resistance information applies only where the current level of water resistance has been expressly confirmed on the particular Product's page or in a separate document. FCW does not recommend exposing a watch to water unless this has been explicitly confirmed as suitable for that particular item.
4.6. Subject to mandatory provisions of law, information presented in the Store constitutes an invitation to enter into a contract rather than an offer within the meaning of the Polish Civil Code.
5. PRICES, TAXES AND PAYMENTS
5.1. Product prices are displayed on Product pages and at checkout before an Order is placed. The price, currency, delivery costs and available payment methods are shown to the Customer before the contract is concluded.
5.2. Payment methods available for a particular Order are presented at checkout. Their availability may depend on the Customer's country, currency, Order value, security verification results, payment provider configuration and other technical or legal factors.
5.3. FCW may require full payment before releasing or dispatching the Product.
5.4. Before the contract is concluded, FCW may decline to fulfil or cancel an Order if the Product price or description contains an obvious error, the Product is unavailable, a technical problem occurs, there are reasonable grounds to suspect fraud, payment cannot be confirmed, or fulfilment would be impossible or unlawful.
5.5. For delivery outside the European Union, the Customer may be required to pay customs duties, import taxes, clearance fees and other charges required by the destination country. Unless FCW expressly states otherwise before the contract is concluded, these charges are not included in the price or delivery cost and are payable by the Customer as the importer.
6. PLACING ORDERS AND CONCLUDING THE CONTRACT
6.1. The Customer places an Order by:
a) selecting a Product;
b) adding it to the cart;
c) providing the information required at checkout;
d) selecting delivery and payment methods;
e) reviewing the Order summary;
f) confirming the Order using a button clearly indicating an obligation to pay.
6.2. After the Order is placed, FCW sends an automatic acknowledgement of receipt to the Customer's email address. This acknowledgement does not yet constitute acceptance of the Order for fulfilment or conclusion of the contract, unless its content expressly states otherwise.
6.3. The sales contract is concluded when FCW emails the Customer confirmation that the Order has been accepted for fulfilment or confirmation that the contract has been concluded. FCW may provide this confirmation after checking Product availability, payment, Order details and security requirements.
6.4. The content of the concluded contract is recorded through these Terms and Conditions, the information displayed at checkout, the Order confirmation and correspondence with the Customer. The contract is concluded in the language used at checkout or a language individually agreed with the Customer.
7. DELIVERY AND COLLECTION IN PERSON
7.1. The delivery area, costs, order processing, transport, customs duties, import taxes, collection in person and handling of shipments are governed by the Shipping and Delivery Policy.
7.2. FCW delivers in particular within Poland and to EU/EEA countries, the United Kingdom, Switzerland, the United States, Canada, the United Arab Emirates, Japan, Singapore and Australia, provided safe transport is available for the Order.
7.3. Collection in person is possible only by prior appointment and following confirmation from FCW.
7.4. In dealings with a Consumer, the risk of accidental loss of or damage to the Product passes to the Consumer when the Consumer, or a third party designated by them other than the carrier, takes physical possession of the Product, subject to mandatory provisions of law.
8. WITHDRAWAL, COMPLAINTS AND WARRANTY
8.1. Consumers and Business Customers with Consumer Rights have the right to withdraw from a distance contract under the rules set out in the Returns, Complaints and Warranty Policy.
8.2. Detailed rules on returning Products, return costs, complaints regarding a lack of conformity with the contract and the voluntary FCW warranty are set out in the Returns, Complaints and Warranty Policy.
8.3. Neither these Terms and Conditions nor the FCW warranty exclude, limit or suspend the Consumer's rights under mandatory provisions of law.
9. ORDER A WATCH
9.1. Order a Watch is a service whereby FCW receives the Customer's enquiry and takes steps to find a watch matching the criteria provided.
9.2. Submitting the Order a Watch form constitutes an enquiry about the service. It does not conclude a sales contract for a particular watch or guarantee the availability of a particular model, a price or a fulfilment date.
9.3. FCW may contact the Customer to clarify the brand, model, reference, budget, condition, completeness, timeframe, alternatives and other criteria.
9.4. FCW may present individual proposals containing, as far as possible, information on price, condition, availability, completeness, estimated fulfilment time and transaction terms.
9.5. Finding a popular model may typically take 7 to 21 business days. For rare references, vintage watches, collectible examples, models with special requirements or a limited budget, the process may take 4 to 12 weeks or longer. These timeframes are indicative.
9.6. Once an individual proposal has been accepted, FCW may ask the Customer to pay a deposit or advance payment. Before payment, FCW will provide the Customer on a durable medium with at least: a description of the specific watch, the price, currency, deposit amount, deadline for the remaining payment, delivery terms, information on how the deposit is applied or refunded, and information on the right of withdrawal to the extent required by law.
9.7. A deposit or advance payment is paid only after an individual offer has been presented and separately accepted. The Order a Watch form alone does not entitle FCW to collect a deposit or oblige the Customer to purchase.
9.8. FCW may decline to provide the service if there are reasonable concerns about the legality of the watch's source, its authenticity or condition, the possibility of purchasing it safely, or the transaction's compliance with the law or FCW standards.
9.9. If a watch meeting the Customer's criteria cannot be found within the agreed period, FCW may suggest extending the search, changing the criteria or considering an alternative reference, year, variant or condition. FCW is not obliged to present a proposal that does not meet its security and authenticity standards.
10. AUCTIONS
10.1. The detailed rules of each Auction, including the Product, start and end times, minimum price, minimum bid increment, any fees, participation conditions and payment information, are provided with that Auction.
10.2. Auction participants must have full legal capacity and act on their own behalf or be duly authorised to act on behalf of another entity.
10.3. Placing a bid in an Auction is binding. The participant with the highest valid bid at the end of the Auction is obliged to conclude a contract to purchase the Product on the terms stated for the Auction and in these Terms and Conditions, subject to mandatory provisions of law.
10.4. FCW sends the Auction winner confirmation of the result and payment instructions to the email address provided during registration or the Auction.
10.5. The Auction winner must make full payment within 72 hours of the Auction ending, unless another deadline is expressly stated for that Auction.
10.6. Payment is deemed made when the full amount has been credited to FCW's account or the payment provider has successfully confirmed payment.
10.7. If payment is not made on time, FCW may, to the extent permitted by law:
a) cancel the Auction result;
b) offer the Product to the next participant;
c) relist the Product for Auction or ordinary sale;
d) pursue claims arising from the concluded contract, where such claims exist and are justified.
10.8. Before allowing participation in an Auction or accepting a bid, FCW may require further verification of identity, contact details, source of funds, authority to act, ability to pay or a deposit, provided this is lawful and has been clearly communicated to the participant.
10.9. FCW may exclude a participant, invalidate a bid or cancel an Auction in the event of an obvious technical error, manipulation, conduct contrary to the law or these Terms and Conditions, suspected fraud, failure to complete required verification, a breach of fair bidding rules or circumstances preventing safe completion of the transaction.
10.10. Withdrawal rights, complaints and warranties for Products purchased at Auction are governed by the Returns, Complaints and Warranty Policy, subject to mandatory provisions of law.
11. INTELLECTUAL PROPERTY RIGHTS
11.1. Content available in the Store, including trademarks, logos, photographs, descriptions, graphic layout, videos, the Product database and other materials, is protected by law and belongs to FCW or is used by FCW under the appropriate permissions.
11.2. Copying, distributing, modifying or using the Store's content beyond the scope permitted by law requires FCW's prior consent.
12. PERSONAL DATA AND COOKIES
12.1. The rules on personal data processing, the use of cookies and similar technologies, and the rights of data subjects are set out in the Privacy Policy and Cookie Policy.
12.2. For personal data matters, the Customer may contact FCW at office@felipecotto.com.
13. OUT-OF-COURT DISPUTE RESOLUTION
13.1. Consumers may use out-of-court complaint handling and redress procedures, including assistance from municipal or district consumer ombudsmen, consumer organisations and relevant national institutions.
13.2. FCW endeavours to resolve disputes amicably and directly with the Customer.
13.3. Information about available out-of-court dispute resolution procedures can be obtained, among other sources, from the websites of the relevant consumer protection authorities. The European Union's ODR platform has closed and is not listed as an available channel for submitting complaints.
14. FINAL PROVISIONS
14.1. Matters not covered by these Terms and Conditions are governed by Polish law, provided that this choice of law does not deprive the Consumer of protection granted by mandatory provisions of the law of their country of habitual residence.
14.2. For Customers who are not Consumers, disputes arising from contracts concluded with FCW may be resolved by the court with jurisdiction over FCW's registered office, unless mandatory provisions of law provide otherwise.
14.3. FCW may amend these Terms and Conditions for important reasons, in particular changes in law, payment methods, delivery methods, Store functionality, Auction or Order a Watch rules, or the need to correct editorial errors. Orders and contracts concluded before changes take effect remain governed by the version in force when the contract was concluded, unless the law provides otherwise.
14.4. Changes to these Terms and Conditions are published in the Store together with their effective date.
